Article I The name of the organization shall be Friends of the Cass County Public Library. Article II
Article III Section 1. Any individual, organization, business industry interested in the purposes of this organization may become a member upon payment of annual dues in one of the following categories which constitute the types of membership:
Section 2. Volunteer hours may be substituted for dues at the rate of $1.00 per hour. Section 3. Family Memberships are available to two or more people. Membership entitles the family to designate two representatives, each of whom is entitled to one vote each. All family memberships are entitled to the privileges of membership. Section 4. Dues shall be payable at the annual meeting and shall be good for the following calendar year. Section 5. Honorary Membership in the Friends of the Cass County Public Library may be conferred upon persons by special action of the Executive Board. Article IV The officers of the Friends of the Cass County Public Library shall be:
Section 1. The President shall hold office for one year. S/he shall preside at all meetings of the organization, appoint all committees, and be ex-officio thereof. Section 2. The Vice-President shall hold office for one year. S/he shall, in the absence or incapacity of the President, perform the duties of the President. Section 3. The Secretary shall hold office for one year. S/he shall keep a record of the minutes of all meetings of the organization, and shall conduct the correspondence of the organization. Section 4. The Treasurer shall hold office for one year. S/he shall keep the official financial records of the organization and shall issue payments upon the direction of the Executive Board. An annual audit of the financial records shall be made be either a committee or a Certified Public Accountant appointed by the President with the approval of the Executive Board within 30 days of the close of the fiscal year. Section 5. Checks issued by the Treasurer shall require the signatures of the Treasurer and one other officer. Section 6. All officers shall be members in good standing. Section 7. Any officer who is absent from three consecutive meetings may be asked to resign. Section 8. The election of officers shall be held at the annual meeting, and they shall assume the duties of their office the January following the election. Officers shall be elected by a majority vote of those present at the annual meeting. Section 9. The officers shall have the authority to appoint, for a one-year term, the membership chairperson and the program chairperson. a. The Membership Chairperson shall advise the Executive Board with respect to all aspects of membership and in general promote the increase of such membership. b. The Program Chairperson shall plan speaker and special programs as determined by the Executive Board. Article V Section 1. The Executive Board shall consist of the officers of the organization, the membership chairperson, the program chairperson, and the Director of the Cass County Public library and/or his/her alternate. Section 2. The duties of the Executive Board shall be: a. To transact the business of the organization. b. To hold meetings on the 2nd Tuesday of each month at Pearson Hall in the Cass County Information Center, 400 East Mechanic, Harrisonville, MO 64701. c. No committee or member thereof shall have the authority to make any contract, or to incur any indebtedness, obligation, or liability in the name of, or in behalf of the organization without the authority and approval of the Executive Board. d. Vacancies in an officer position will be appointed by the President with the approval of the Executive Board. The newly appointed officer shall then serve until the following election. e. For voting purposes, a quorum of the Executive Board will consist of a majority of the Board members present at the meeting. Article VI Section 1. The Annual Meeting shall be held during the regular November meeting to conduct appropriate business and elect officers. Section 2. A Special Meeting of the organization may be called at any time by the President, by two members of the Executive Board, or by five (5) members of the organization. Section 3. Five (5) members shall constitute a quorum at any Annual or Special Meeting of the organization. Section 4. Notice of the time and place of each Annual or Special Meeting of the organization shall be published in the official minutes and shall be mailed not less than 15 days before the meeting to the recorded address of every member of the organization. Article VII The proceedings of the organization shall be governed by the following Code of Conduct:
Article VIII These bylaws may be amended at any meeting of the membership by a majority of the membership present and voting, provided that notice of the proposed amendments shall have been mailed to all members at least two weeks before said meeting, and a quorum is present. Article IX Section 1. The Friends of the Cass County Public Library is organized exclusively for the education purposes of the Cass County Public Library, including for such purposes, the making of distributions to the Library under Section 501(c)(3) of the Internal Revenue Code (or the corresponding section of any future Federal tax code). Section 2. Notwithstanding any other provision of these articles, the organization shall not carry on any other activities not permitted to be carried on: a. By an organization exempt from Federal income tax under section 501(c)(3) of the Internal Revenue Code (or corresponding section of any future Federal tax code). b. By an organization, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code (or corresponding section of any future Federal tax code). Article X Upon dissolution of this organization, its assets remaining after payment, or provisions for payment, of all debts and liabilities of this corporation shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code or shall be distributed to the federal government or a state or local government for a public purpose. |
